Before you sign: a practical contract review checklist
A considered review starts with the business arrangement, then works through the obligations, risks and exit provisions.
A considered review starts with the business arrangement, then works through the obligations, risks and exit provisions.
Start with the commercial understanding
Before reviewing clauses, write down what each party expects to deliver, when performance is due and how payment will work. A contract should reflect that understanding clearly.
Read the obligations together
Check the scope of work, acceptance criteria, deadlines and payment terms as a connected whole. Look for inconsistent definitions or obligations that depend on events outside a party’s control.
Plan for change and disagreement
Consider how the agreement can be varied, how notices must be delivered and what happens when performance falls short. Termination, governing law and dispute provisions deserve attention before signature.
Keep the signed record
Retain the final signed version and its schedules. A specific contract should be reviewed in light of its facts and applicable law. This checklist is general information, not legal advice.
A short timeline and the right documents can make an initial discussion more focused and useful.
